Nightingale Software Group — Free Trial, Subscription & Cancellation Terms
Effective date: 30 October 2026 · Version: 2026-10-30/v1.1
These terms form part of your agreement with Luke Otto trading as Nightingale Software Group (and, from incorporation, Nightingale Software Group Limited) ("Nightingale"), together with our Terms of Service (nightingalesoftware.co.uk/legal/terms) or, if you have signed them, our Master B2B SaaS Terms, our Acceptable Use Policy (nightingalesoftware.co.uk/legal/acceptable-use) and our Data Processing Agreement (nightingalesoftware.co.uk/legal/dpa). If these terms conflict with anything else on trials, plans, renewal, cancellation or refunds, these terms win (unless you have a signed Order Form that says otherwise).
1. Business customers only
Our services are sold only to businesses. When you start a trial or subscription you confirm that you are acting for a business, trade or profession and not as a consumer. Because of this, consumer rights such as the 14-day cooling-off period under the Consumer Contracts Regulations 2013 and the consumer subscription rules in the Digital Markets, Competition and Consumers Act 2024 do not apply. If we discover an account is being used by a consumer, we may close it and refund any charges.
2. Plans
Each app is offered on two plans:
- Pro — bought self-serve through the Admin Centre at the price shown at checkout.
- Enterprise — bought self-serve at the price shown at checkout, or, for Rekuver Enterprise, BirdCall Enterprise and wherever else we say so, by written quote only. Quote-only plans cannot be bought through self-serve checkout; their price and terms are agreed in a signed Order Form.
Features, limits and usage-based charges for each plan are those shown on our pricing page (https://nightingalesoftware.co.uk/pricing) and at checkout when you subscribe.
Prices and VAT. You pay the prices shown on our pricing page and at checkout. We are not currently registered for VAT, so VAT is not currently charged. If we become VAT-registered, we will add VAT at the applicable rate, after giving you at least 30 days' notice by email.
2A. GaleCast: prices and included credits
- Prices: Pro £699 per month (or £6,990 per year); Enterprise £1,099 per month (or £10,990 per year).
- Included credits: each paid month includes call and messaging credit worth £200 (Pro) or £400 (Enterprise). Credit is used for voice minutes and SMS at the usage rates shown on our pricing page. On annual plans the credit is given for each month of the year.
- No credit during the free trial. Credit is added only after the payment for that month has been received. Calls and SMS during the free trial are charged. During the 7-day free trial no subscription fee is charged and no included credit applies. Calls and SMS sent through GaleCast during the trial are charged at the overage rates shown on our pricing page (https://nightingalesoftware.co.uk/pricing) at the time of use, and are billed to the payment method you provided at checkout. Cancelling the trial does not cancel usage charges already incurred.
- Unused credit expires at the end of the monthly billing period it is given for (on annual plans, at the end of each month of the year). It does not roll over, has no cash value and is not refunded, transferred or exchanged.
- Usage beyond your included credit is charged at the overage rates shown on our pricing page (https://nightingalesoftware.co.uk/pricing) at the time the usage occurs.
- Credits and usage charges are not discounted by the Command Core bundle or annual pricing.
2B. Rekuver: subscription and recovery fee
- Subscription: Rekuver Pro is bought self-serve at the per-depot price shown on our pricing page and at checkout. Rekuver Enterprise is available by quote only — there is no self-serve checkout — and its subscription price and terms are agreed in a signed Order Form.
- Recovery fee: in each calendar month, the first £500 of waiting-time (demurrage) charges you recover is free. On anything you recover above £500 in that month we charge 10% on Pro or 5% on Enterprise.
- "Recover" means an amount your customer has actually paid or credited to you for a waiting-time claim made using Rekuver. It counts in the month it is paid. Nothing is charged on claims that are not paid. If you have to repay a recovered amount to your customer, we will credit the fee we charged on it.
- "Waiting time (demurrage)" has the meaning in our Terms of Service (section 3.7): UK HGV waiting time at distribution centres only, not port, container, shipping-line or sea-freight charges.
- We charge the recovery fee monthly in arrears through Stripe, using the amounts marked as recovered in your Rekuver account. Please keep these accurate; we may ask for reasonable evidence.
- The recovery fee applies during the 7-day free trial. Your Rekuver subscription costs £0 during the trial, but the recovery fee in point 2 is charged on amounts you actually recover during the trial (after the first £500 in that month is free). Cancelling the trial stops the subscription; it does not cancel a recovery fee already due on amounts recovered before you cancelled.
- The recovery fee is not discounted by the Command Core bundle or annual pricing.
3. The 7-day free trial
- Who gets one: new customers get one free 7-day trial per app (or per bundle). We may refuse a trial if you, or your business, have had one before. Quoted Enterprise contracts do not include a self-serve trial unless the quote says so.
- Card required: you must add a valid payment card at Stripe's secure checkout to start the trial. No subscription fee is charged during the trial. Usage and recovery fees still apply: for GaleCast, calls and SMS made during the trial are charged at the overage rates under section 2A; for Rekuver, the recovery fee in section 2B applies to amounts actually recovered during the trial. Stripe may place a temporary £0 or small verification hold to check the card; this is released by your card provider.
- Reminder: we will email the account owner 3 days before the trial ends, reminding you of the date your trial ends, the plan and the amount that will be charged, with a link to cancel.
- Automatic conversion: unless you cancel before the trial ends, your trial automatically becomes a paid subscription on the plan you chose, and your card is charged the first period's fee on the day the trial ends. If no valid payment method is available at that point, the trial simply ends and access stops; no charge is made.
- Cancel in the trial and pay no subscription fee: you can cancel at any time before the trial ends in the Admin Centre (Billing → Subscriptions → Cancel) or through the Stripe customer portal. You will not be charged any subscription fee. GaleCast usage charges already incurred under section 2A and any Rekuver recovery fee already due under section 2B still apply.
- No liability for trials: trials are provided "as is". To the extent the law allows, we have no liability to you in connection with a free trial (Tier A, £0).
- Trial data is kept for 30 days after a trial ends without converting, then deleted.
4. Billing
- Subscriptions are billed in advance, monthly or annually, through Stripe. You authorise us (through Stripe) to charge your card or other payment method for each renewal and for any usage-based charges.
- If a payment fails we will tell you and retry. If it is still unpaid 7 days after the due date your account may become read-only; after 14 days we may suspend access until it is paid.
- We may change prices for future periods by giving at least 30 days' notice by email. The change applies from your next renewal; you can cancel before it takes effect.
5. Monthly subscriptions
Monthly subscriptions renew automatically each month. You can cancel at any time; cancellation takes effect at the end of the current monthly billing period and you keep access until then. We do not refund part-months.
6. Annual subscriptions
Annual subscriptions run for 12 months and renew automatically for a further 12 months unless you cancel at least 30 days before the renewal date. We will email you a renewal reminder before that notice deadline. Annual fees are not refundable once the annual term has started, except as set out in section 8. Mid-term upgrades are charged pro rata; downgrades take effect at renewal.
7. How to cancel
- In the Admin Centre: Billing → Subscriptions → Cancel, or the Stripe customer portal link in any invoice email; or
- by email to team@nightingalesoftware.co.uk from the account owner's email address. We will confirm every cancellation by email. Cancelling stops future renewals; it does not delete your data straight away — you can export it for 30 days after the subscription ends, after which it is deleted (see our Privacy Notice).
8. Refunds
Fees are non-refundable and we do not give partial refunds for unused time, except: (a) where the law requires a refund; (b) where we end your subscription for our convenience, in which case we refund prepaid fees for the unused period; or (c) where we have charged you in error.
9. Our right to end a trial or subscription
We may end a trial at any time. We may suspend or end a subscription as set out in our Terms of Service (for example for non-payment or serious breach of the Acceptable Use Policy).
